In this project we are trying to make the acquisition of Lululemon by Nike and provide an M&A proposal for Nike. 2- under section A.Search: here is what you need to accomplish: Two step procedure: Establish primary selection criteria (e.g., industry and maximum size of transaction) Develop search strategy to identify potential targets using computerized databases; directory services; legal, banking, and accounting firms; and the Internet. 3- Under Section B. Screening Criteria Here is what you need to accomplish: As a refinement of the search process, screening involves increasing the number of selection criteria to reduce the list of potential candidates. In addition to the industry and maximum size of transaction used in the search process, additional criteria could include: Targeted market segment Product line Profitability Degree of leverage Market share Cultural compatibility (e.g., AOL/Time Warner) Cultural compatibility can be measured by employee surveys, demographic profiles (e.g., age), and assessments of management styles between the two firms. One firm could be very entrepreneurial, while the other is more bureaucratic or paternalistic. AOL/Time Warner is a good example where age differences, degree of formality, and management styles created mistrust and a resulting lack of cooperation which undermined the integration of the two businesses.
